Legal terms and conditions for using CookCam AI

1. Acceptance of These Terms

ABM Studios LLC ("ABM," "we," "our," "us") provides the CookCam AI mobile application, websites, and any related features or content (collectively, the "Services"). By downloading, installing, or using the Services you ("you," "your," or "User") agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Services.

2. Definitions

App – the CookCam AI mobile application.
Content – text, images, video, audio, code, data, recipes, and other material made available through the Services.
User Content – Content submitted, uploaded, or transmitted by a User.
Creator – a User enrolled in the Creator Tier.
Subscription – any paid plan that unlocks premium functionality.

3. Eligibility and Accounts

You must be at least 13 years old (or the age of digital consent where you live) to create an account; Users offering paid content or receiving payouts must be at least 18 years old.
You agree to provide accurate information, keep it updated, and maintain the confidentiality of login credentials.
You are responsible for all activities that occur under your account. Notify us promptly at support@cookcam.ai if you suspect unauthorised use.

4. Subscriptions, Free Trials, and Payments

Subscriptions are processed by Apple App Store or Google Play.

Auto-Renewal – YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AND YOUR PAYMENT METHOD IS CHARGED UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE THE CURRENT CYCLE ENDS. Manage or cancel in your device's store settings.

Pricing may change; we will give at least 30 days' notice by email or in-app message.
Taxes, foreign exchange fees, and carrier charges may apply.
Refunds follow Apple or Google policies; ABM cannot issue direct refunds.

5. Creator Program

5.1 Eligibility

Active Creator Tier subscription, compliance with guidelines, completed tax profile, and identity verification.

5.2 Revenue Share

Referrals: 30 percent lifetime share of subscription payments from referred Users.
Tips: 100 percent to Creator.
Paid collections: 70 percent to Creator after platform fees.
Payouts occur monthly via Stripe with a $10 minimum; unpaid balances roll forward.

5.3 Creator Obligations

Provide original, accurate, and lawful content, respond to user queries, and uphold professional conduct.

5.4 Licence to ABM

You retain ownership of User Content but grant ABM a worldwide, non-exclusive, royalty-free, sublicensable licence to host, reproduce, adapt, publish, and display such content within the Services, our marketing, and social media. This licence ends 90 days after content is removed unless required for dispute resolution, legal compliance, or backup.

6. User Content and Feedback

You represent that you own or have the necessary rights to User Content.
You must not upload content that is unlawful, offensive, deceptive, or infringes intellectual property.
We may moderate, remove, or restrict content at our sole discretion.
Suggestions or feedback you voluntarily provide may be used by ABM without obligation or compensation.

7. Prohibited Conduct

You agree not to:

Violate laws or regulations.
Infringe any intellectual-property or privacy rights.
Post harmful code, spam, or misleading nutrition or food-safety claims.
Reverse engineer, interfere with security, or circumvent access controls.
Exploit the Services for unauthorised commercial purposes outside the Creator Program.

8. Intellectual Property

All software, design, trademarks, and Content provided by ABM are ABM's exclusive property or licensed to ABM. You receive a limited, revocable, non-transferable licence to access and use the Services for personal, non-commercial purposes (unless you are a Creator under Section 5).

9. Privacy

Personal data is handled in accordance with our Privacy Policy, incorporated here by reference.

10. Third-Party Services and Links

The Services may integrate or link with third-party platforms (Apple, Google, Supabase, OpenAI, payment processors, etc.). ABM does not control and is not responsible for third-party content or practices.

11. Nutritional and Safety Disclaimer

Important Safety Notice: Recipes are generated by algorithms and may contain errors. Always verify ingredient quality, allergies, cooking times, and internal temperatures. ABM is not responsible for adverse health outcomes.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ABM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW ABM, ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. ABM'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ABM FOR THE SERVICES DURING THE PRECEDING TWELVE MONTHS OR (B) FIFTY U.S. DOLLARS.

14. Indemnification

You will indemnify and hold harmless ABM from any claim, demand, or damages (including reasonable legal fees) arising out of your User Content, your use of the Services, or your violation of these Terms.

15. Termination

By You – Delete your account at any time in Settings; paid tiers revert to Free at the end of the current billing cycle.
By ABM – We may suspend or terminate accounts that violate these Terms or if required by law. Upon termination, licences granted to you end immediately. Creator payouts freeze pending investigation and may be forfeited for material breach.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules.
Binding Arbitration – ANY DISPUTE NOT RESOLVED INFORMALLY WILL BE SUBMITTED TO FINAL AND BINDING ARBITRATION ADMINISTERED BY JAMS OR AAA IN SHERIDAN, WYOMING, UNDER THE FEDERAL ARBITRATION ACT. YOU WAIVE ANY RIGHT TO LITIGATE IN COURT OR TO PARTICIPATE IN A CLASS ACTION.
Either party may bring individual claims in small-claims court for matters within that court's jurisdiction.

17. International Use and Export Compliance

You are responsible for compliance with local laws. Software may be subject to US export controls; you affirm you are not located in a sanctioned country or on a US sanctions list.

18. Changes to the Services or Terms

We may modify the Services or these Terms at any time. Material changes will be announced in-app or by email at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

19. Miscellaneous

Severability – If any provision is unenforceable, the remaining provisions remain in effect.
Assignment – ABM may assign these Terms; you may not assign rights or obligations without our consent.
Force Majeure – ABM is not liable for delays or failures caused by events beyond our reasonable control.
Entire Agreement – These Terms, the Privacy Policy, and any supplemental program terms are the entire agreement between you and ABM regarding the Services.
